1. Service Description
Cedar Digital, a DBA of Raymond Holdings LLC ("we," "us," or "our"), provides web design and development services, including website creation, redesign, maintenance, and related digital services for small and medium-sized businesses. Our principal place of business is in the state of Washington.
2. Acceptance of Terms
By engaging Cedar Digital for services, submitting a contact form, signing a proposal, or making a payment, you ("Client") agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.
3. Payment Terms
Website build projects are billed on a 50/25/25 schedule:
- 50% due upon project kickoff before work begins.
- 25% due upon delivery of the initial design draft for review.
- 25% due upon final delivery and site launch.
Monthly retainer services (hosting, maintenance, updates, and support) are billed at the beginning of each calendar month. Payment is due within 15 days of the invoice date. Late payments may be subject to a 1.5% monthly interest charge on outstanding balances.
We accept payment via credit card, ACH transfer, and other methods specified on the invoice.
4. Intellectual Property
Upon receipt of final payment in full, the Client owns all rights to the finished website design, custom graphics, and written content created specifically for the Client's project.
Cedar Digital retains all rights to pre-existing code, frameworks, libraries, reusable components, development tools, and general-purpose code used in the creation of the Client's website. These materials may be used by Cedar Digital in other projects.
Cedar Digital reserves the right to display the completed project in our portfolio and marketing materials unless the Client provides written notice requesting otherwise.
5. Client Responsibilities
The Client agrees to:
- Provide all necessary content (text, images, logos, branding assets) in a timely manner.
- Provide feedback on drafts and deliverables within 7 business days of delivery, unless otherwise agreed.
- Ensure all provided content is accurate, lawful, and does not infringe on any third-party rights.
- Designate a single point of contact for project communications.
Delays caused by the Client's failure to provide content or feedback may result in adjusted project timelines and, in some cases, additional charges.
6. Limitation of Liability
To the maximum extent permitted by law, Cedar Digital's total liability arising out of or related to these Terms or our services shall not exceed the total fees paid by the Client to Cedar Digital for the specific project or service giving rise to the claim. In no event shall Cedar Digital be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of profits, loss of business, or loss of data.
7. Warranty Disclaimer
Once the Client has approved the final deliverables and the website has been launched, all work is provided "as is." Cedar Digital makes no warranties, express or implied, regarding the continued performance, uptime, or compatibility of the delivered website beyond active retainer coverage. Websites on an active retainer plan receive ongoing maintenance and support as described in the retainer agreement.
8. Termination
Retainer services: Either party may terminate a retainer agreement with 30 days' written notice. The Client is responsible for payment through the end of the 30-day notice period.
Build projects: If the Client terminates a build project after work has begun, no refund will be issued for completed phases. Payments for work not yet started will be refunded.
Cedar Digital reserves the right to terminate services immediately if the Client breaches these Terms, fails to make payment within 30 days of the due date, or engages in abusive or threatening behavior toward our team.
9. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the state of Washington, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of the state of Washington.
10. Changes to These Terms
We reserve the right to update these Terms of Service at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our services after changes are posted constitutes acceptance of the revised terms.
